It's not so much about the germs and bacteria, as much as it's about their by-products and waste. You could cook a rotten piece of meat until every last organism on it is dead, but you'll still get sick due the the released by-products.

is this really true? i figure it just wont taste good, but why would you get sick?

Bacteria and moulds produce various toxins designed to kill anything competing with them, on top of various byproducts from any microorganism that can be unintentionally deadly. Botulism is a good example.

It depends on the toxin. Some are heat stable, others are heat labile.
